OVERVIEW
Welcome to Mediwell USA (“Mediwell USA,” “we,” “us,” “our”). We operate this website and online store (the “Services”) to provide you with a curated shopping experience. Mediwell USA is powered by Shopify.
These Terms of Service (the “Terms”) together with our Privacy Policy, Return & Refund Policy, and Shipping Policy describe your rights and obligations when using the Services.
By accessing or using the Services, you agree to be bound by these Terms and our referenced policies. If you do not agree, do not use the Services.
1. ACCESS & ACCOUNT
You represent that you are at least the age of majority in your state of residence and you authorize any minor dependents to use devices you own or manage to access the Services. You may be asked to provide information (e.g., email, billing, payment, shipping). You warrant that all information is accurate and complete and that you have the right to provide it.
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You may not transfer or sell your account.
2. OUR PRODUCTS
We aim to display products accurately; however, the colors/appearance you see can vary by device and settings. We do not warrant that any product’s appearance, quality, or fit will meet your expectations.
Product descriptions, pricing, and availability are subject to change at any time without notice. We may discontinue or limit quantities to any person or region at our sole discretion.
3. ORDERS
Your order is an offer to purchase. We may accept or decline any order at our discretion. An order is accepted only after payment is processed and we issue an order confirmation. Please review carefully before submitting—cancellations may not be possible after acceptance. If we decline, modify, or cancel an order, we’ll attempt to contact you using the details provided at checkout.
Purchases are subject to our Return & Refund Policy. You represent that purchases are for personal/household use, not for resale or export.
4. PRICES, TAXES & BILLING
Prices, promotions, and discounts may change without notice. The price charged is the price in effect at checkout and in your confirmation email. Unless expressly stated, prices exclude shipping, handling, taxes, customs/duties.
You agree to provide current, complete billing and account information and to promptly update payment details (card number, expiry, billing address). By submitting a payment method, you represent you’re authorized to use it and agree to pay all charges, including applicable taxes and fees.
5. SHIPPING & DELIVERY
Processing and delivery timeframes are estimates and not guaranteed. We are not liable for delays caused by carriers, weather, customs, or factors beyond our control. Title and risk of loss pass to you upon our delivery of products to the carrier. For details, see our Shipping Policy.
6. INTELLECTUAL PROPERTY
The Services and all content (trademarks, text, images, graphics, video, audio, design, and arrangement) are owned by Mediwell USA or its licensors and protected by law. You may use the Services for personal, non-commercial purposes only. Any reproduction, distribution, modification, public display/performance, or derivative use requires our prior written consent.
Mediwell USA names, logos, product names, and slogans are trademarks of Mediwell USA. Shopify’s names and marks are trademarks of Shopify. Other names and marks are the property of their respective owners.
7. OPTIONAL TOOLS & APPS
We may provide access to third-party tools or integrations “as is” and “as available” without warranties or endorsements. Your use is at your own risk and subject to the third party’s terms.
8. THIRD-PARTY LINKS
The Services may link to third-party websites or include third-party materials. We are not responsible for their content, accuracy, policies, or transactions. Access and use at your own risk and review those sites’ terms and policies.
9. RELATIONSHIP WITH SHOPIFY
Mediwell USA is powered by Shopify. Purchases are made directly with Mediwell USA; Shopify is not a party to your transactions. You expressly release Shopify from claims arising out of your purchases from Mediwell USA.
10. PRIVACY
Personal information is handled per our Privacy Policy and may also be processed by Shopify per Shopify’s privacy policy. By using the Services, you consent to such processing, including transfers to other countries as needed to provide the Services.
11. FEEDBACK & REVIEWS
If you submit feedback, reviews, ideas, or suggestions (“Feedback”), you grant us a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, and display such Feedback for any purpose. You represent you have rights to the Feedback and it complies with these Terms. We may monitor, edit, or remove unlawful or objectionable content at our discretion.
12. ERRORS & OMISSIONS
Information on the Services may contain typographical errors or inaccuracies (including in product descriptions, pricing, promotions, shipping charges, transit times, availability). We reserve the right to correct, update, or cancel orders affected by such errors without prior notice.
13. ACCEPTABLE USE
You agree not to use the Services for unlawful purposes or in a way that harms Mediwell USA, Shopify, other users, or third parties; not to infringe IP rights; not to transmit malware, spam, or misleading content; not to scrape or circumvent security; and not to resell or exploit the Services. We may suspend or terminate access for violations.
14. TERMINATION
We may suspend or terminate access to the Services at any time for any reason. You remain liable for charges incurred before termination. Sections intended to survive termination will continue in effect.
15. DISCLAIMER OF WARRANTIES
EXCEPT AS EXPRESSLY STATED BY MEDIWELL USA, THE SERVICES AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Your use is at your sole risk. Some jurisdictions do not allow certain disclaimers; those limitations may not apply to you.
16. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, MEDIWELL USA AND ITS OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SERVICE PROVIDERS, AND LICENSORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS/REVENUE/DATA OR REPLACEMENT COSTS) ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY. In all cases, our total liability shall not exceed the amount you paid to us for the product giving rise to the claim.
17. INDEMNIFICATION
You agree to indemnify and hold harmless Mediwell USA, Shopify, and their affiliates, officers, employees, and agents from claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of (i) your breach of these Terms or policies, (ii) your violation of law or third-party rights, or (iii) your use of the Services or products.
18. SEVERABILITY
If any provision is found unenforceable, it shall be enforced to the maximum extent permissible, and the remainder shall remain in full force.
19. WAIVER; ENTIRE AGREEMENT
Our failure to enforce any provision is not a waiver. These Terms, together with the policies referenced above, constitute the entire agreement between you and us and supersede prior understandings.
20. ASSIGNMENT
You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without notice.
21. GOVERNING LAW & VENUE
These Terms and any disputes arising out of or related to the Services shall be governed by the laws of the State of California, without regard to conflicts of laws rules. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California.
SECTION 21A – HEALTH & WELLNESS DISCLAIMER
The products and information available on Mediwell USA are intended for general wellness and comfort purposes only.
They are not medical devices and are not intended to diagnose, treat, cure, or prevent any disease or medical condition.
Statements regarding Mediwell USA products have not been evaluated by the U.S. Food and Drug Administration (FDA).
Our products are not a substitute for professional medical advice, diagnosis, or treatment.
Always consult your physician or other qualified healthcare provider regarding any medical condition or before starting any new health-related product or regimen.
Individual results may vary. Testimonials and customer reviews reflect personal experiences that are not guaranteed or typical.
By purchasing and using our products, you acknowledge and agree that you do so voluntarily and at your own risk.
SECTION 21B – ARBITRATION AGREEMENT & CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
(a) Agreement to Arbitrate
You and Mediwell USA agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your purchase or use of any product shall be resolved exclusively through binding individual arbitration, rather than in court, except that either party may bring a claim in small claims court if the claim qualifies.
Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
The arbitration shall take place in Los Angeles County, California, unless both parties agree otherwise.
(b) Class Action Waiver
You and Mediwell USA agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
The arbitrator shall not have authority to consolidate claims or award relief to any person or entity other than the parties to the arbitration.
(c) Opt-Out Option
You may opt out of this arbitration agreement by sending an email to legal@mediwellusa.com within 30 days of your first purchase, stating your full name, address, and a clear statement that you wish to opt out of this arbitration agreement.
Opting out will not affect your other rights under these Terms.
(d) Governing Law
This arbitration agreement shall be governed by the Federal Arbitration Act (FAA) and applicable federal arbitration law.
22. HEADINGS
Headings are for convenience only and do not affect interpretation.
23. CHANGES TO TERMS
We may update these Terms from time to time by posting a revised version on this page and, where required by law, notifying you. Changes apply as of the effective date stated. Your continued use constitutes acceptance.
